AGREEMENT TO TERMS

This Terms of Service Agreement (“Terms”) constitutes a legally binding agreement between you (“User,” “you,” or “your”) and DgenzNFT (“Dgenz”,“Company,” “we,” “us,” or “our”) governing your access to and use of:

The official DgenzNFT website
Any related media channels or digital platforms
All content, graphics, materials, and communications published by Dgenz
(collectively, the “Service”).

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

If you do not agree, you must discontinue use immediately.

NATURE OF THE PROJECT

Dgenz is a digital NFT-based community and brand project. The Service provides information regarding digital collectibles minted on public blockchain networks.

For the avoidance of doubt:

DgenzNFT does not control any blockchain network.
DgenzNFT does not control validator activity.
DgenzNFT does not control third-party marketplaces.
Blockchain transactions are irreversible.

NFTs are digital collectibles and are not:

Securities
Investment contracts
Equity interests
Revenue-sharing instruments
Financial products

ELIGIBILITY

The Service is intended only for individuals who:

Are at least 18 years old
Have full legal capacity to enter binding agreements
Are not located in jurisdictions where NFT activity is prohibited

If you use the Service on behalf of an entity, you represent that you are authorized to bind that entity.

DERUG & CONTINUITY DISCLAIMER

DgenzNFT originated from a previously abandoned NFT collection.

The current Dgenz team:

Operates independently from any prior founders
Assumes no liability for actions taken by previous operators
Makes no representations regarding prior roadmaps or commitments

All previous statements, commitments, or representations made by prior management are expressly disclaimed.

The current DgenzNFT project reflects a new operational structure and direction.

SCOPE OF LICENSE

The Service is licensed, not sold.

We grant you a limited, revocable, non-transferable, non-exclusive license to access the Service for personal, non-commercial use only.
You may not:

Reproduce or distribute the Service
Create derivative works
Reverse engineer any portion
Use content for commercial purposes
Scrape, mine, or automate extraction of data

Any violation of this Section constitutes a material breach of these Terms and may result in legal action, including claims for injunctive relief, monetary damages, statutory damages, and recovery of attorneys’ fees to the fullest extent permitted by law.

INTELLECTUAL PROPERTY RIGHTS

All content on the Service, including:

NFT artwork
Project graphics
Branding
Logos
Roadmaps
Designs
Written content
Visual materials

Are the exclusive intellectual property of Dgenz.

OWNERSHIP OF AN NFT DOES NOT CONFER COMMERCIAL RIGHTS.

Users and NFT holders are strictly prohibited from:

Creating merchandise
Licensing artwork
Using graphics in marketing
Printing or selling derivative works
Monetizing any project visuals

Without prior written authorization.

Unauthorized commercial use may result in legal action.

PROHIBITED ACTIVITIES

You agree not to:

Circumvent security measures
Upload malicious code
Impersonate others
Harass or abuse users
Use the Service for unlawful purposes
Engage in revenue-generating use of project content

We reserve the right to block access at our sole discretion.

DIGITAL ASSET & NFT RISK DISCLOSURE

By interacting with NFTs associated with Dgenz, you acknowledge and accept:

Extreme price volatility
Market illiquidity
Regulatory uncertainty
Potential adverse government enforcement
Smart contract vulnerabilities
Permanent loss of digital assets
Cybersecurity risks

You acknowledge that you may lose 100% of the value of your NFT.

You confirm that you are acquiring NFTs for personal use and not with an expectation of profit derived from the efforts of others.

NO INVESTMENT REPRESENTATIONS

Nothing on the Service, including graphics, roadmap materials, social media posts, or statements by contributors, constitutes:

Financial advice
Investment advice
A securities offering
An offer to sell financial instruments

Forward-looking statements are aspirational only and may change without notice.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

DgenzNFT and its contributors shall not be liable for:

Loss of digital assets
Market depreciation
Regulatory actions
Smart contract failures
Website downtime
Indirect or consequential damages

Total liability shall not exceed $100 USD or the amount paid for the NFT, whichever is lower.

INDEMNIFICATION

You agree to indemnify and hold harmless DgenzNFT and its contributors from any claims arising from:

Your misuse of the Service
Your violation of these Terms
Your infringement of third-party rights
Your violation of applicable laws

DISPUTE RESOLUTION & ARBITRATION

PLEASE READ CAREFULLY — THIS AFFECTS YOUR RIGHTS.

Any dispute arising from these Terms or the Service shall be resolved through binding individual arbitration under the Federal Arbitration Act.

No class actions permitted
No representative proceedings
Arbitration conducted in the United States
Confidential proceedings

Users must first provide written notice and attempt informal resolution for 30 days.

Claims must be filed within one (1) year of accrual.

GOVERNING LAW

These Terms shall be governed by the laws of the United States and the State of Delaware.

DISCLAIMER

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

We disclaim all warranties, express or implied, including:

Merchantability
Fitness for a particular purpose
Non-infringement
